1. Acceptance of Terms

By accessing or using ProConnect ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Platform.

2. User Content and Copyright

2.1 Your Responsibilities

When you upload, post, or share content on ProConnect (including videos, images, reference materials, or any other content), you represent and warrant that:

• You own all intellectual property rights to the content, OR
• You have obtained all necessary permissions and licenses to use the content, OR
• Your use of the content constitutes fair use under applicable copyright law

2.2 Reference Content

ProConnect allows coaches to upload reference content (such as professional athlete footage, instructional videos, or demonstration videos) for educational coaching purposes. You are solely responsible for ensuring your use of reference content is legal.

While certain uses may qualify as "fair use" under copyright law for educational purposes, ProConnect makes no determination about whether your specific use constitutes fair use. You assume all legal risk associated with uploading reference content.

2.3 License to ProConnect

By uploading content to ProConnect, you grant us a non-exclusive, worldwide, royalty-free license to host, store, process, and display your content solely for the purpose of operating the Platform and providing services to you.

3. Copyright Infringement Policy (DMCA)

ProConnect respects the intellectual property rights of others and expects users to do the same. We comply with the Digital Millennium Copyright Act (DMCA) and will respond to valid notices of copyright infringement.

3.1 Reporting Copyright Infringement

If you believe content on ProConnect infringes your copyright, please submit a DMCA notice to:

3.2 Repeat Infringer Policy

ProConnect will terminate the accounts of users who are repeat copyright infringers. Users who receive three (3) valid DMCA notices will have their accounts permanently banned.

4. Limitation of Liability

ProConnect is not responsible for user-uploaded content. You acknowledge that:

• ProConnect does not pre-screen, monitor, or control user content
• You use reference content and other user content at your own risk
• ProConnect is not liable for any copyright infringement claims arising from your use of the Platform
• You agree to indemnify and hold ProConnect harmless from any claims related to content you upload

5. Prohibited Conduct

You agree not to:

• Upload content that infringes on others' intellectual property rights
• Use the Platform to distribute pirated or unauthorized content
• Circumvent any technological measures we implement to protect copyrighted content
• Misrepresent your ownership or rights to uploaded content
• Encourage or facilitate copyright infringement by others

6. Payments and Refunds

All payments processed through ProConnect are subject to our payment processor's terms. Subscription fees are non-refundable except as required by law. Coaches receive payouts according to the payment schedule outlined in their coach dashboard.

7. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms of Service, including but not limited to copyright infringement, fraudulent activity, or abusive behavior.

8. Changes to Terms

We may update these Terms of Service from time to time. Continued use of the Platform after changes constitutes acceptance of the updated terms.

9. Governing Law

These Terms of Service are governed by the laws of the United States, without regard to conflict of law principles.
